Legally Binding Agreement

These Terms of Service constitute a legally binding contract between you and VGR USA LLC (d/b/a Barber Collectives). By accessing, using, or applying to our platform, you expressly agree to comply with all terms, conditions, policies, and standards outlined herein.

If you do not agree to these Terms in their entirety, you are not authorized to access or use our services, systems, or resources.

1. Introduction

Barber Collectives is an enterprise-level ecosystem designed to empower creators, sellers, distributors, and industry professionals within the barbering, grooming, and e-commerce sectors. Our platform provides access to proprietary tools, systems, training, distribution networks, and strategic partnerships.

By creating an account, submitting an application, accessing our resources, or participating in any capacity, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service, along with all applicable policies, guidelines, and operating procedures.

Barber Collectives operates with the highest standards of professionalism, compliance, and operational integrity. We maintain a zero-tolerance policy for fraud, misconduct, abuse, or any activities that threaten the security, reputation, or sustainability of our ecosystem.

Platform Authority

Barber Collectives reserves the right to modify, suspend, terminate, or deny access to any user, service, or feature at our sole discretion to maintain platform integrity, enforce compliance, or protect our community and partners. Violations of these Terms may result in immediate suspension, permanent removal, financial liability, and legal action.

2. Eligibility, Verification & KYC Requirements

To participate in the Barber Collectives ecosystem, all users must meet strict eligibility and verification standards. This protects our community, partners, and brand integrity.

  • Residential address confirmation
  • Phone number verification

Business Verification

  • Legal business registration
  • Tax ID / EIN documentation
  • Banking information
  • Operational compliance proof

Zero-Tolerance Policy for Fraud

Barber Collectives maintains absolute zero tolerance for falsified documents, misrepresentation, fake identities, or any form of fraudulent information during verification.

Consequences: Immediate permanent ban, reporting to financial institutions, cooperation with law enforcement, and pursuit of civil damages.

3. User Responsibilities

Creator Obligations

MAT-Compliant Selling

All product promotions must comply with Minimum Advertised Price (MAP) policies. Creators may not advertise products below authorized pricing thresholds.

Brand-Safe Content

Content must maintain professional standards, accurately represent products, and align with brand values. Misleading, offensive, or harmful content is prohibited.

Truthful Promotion

All claims, testimonials, and product information must be accurate, verifiable, and compliant with FTC guidelines and advertising standards.

Disclosure Requirements

Creators must clearly disclose affiliate relationships, sponsored content, and commercial partnerships in accordance with applicable laws.

Seller Obligations

Shipping Accuracy & Timeliness

Orders must be fulfilled accurately, packaged professionally, and shipped within established timeframes. Tracking must be provided for all shipments.

Inventory Accuracy

Sellers must maintain accurate inventory counts, update availability in real-time, and avoid overselling or misrepresenting stock levels.

Legal Compliance

All operations must comply with federal, state, and local regulations including sales tax collection, business licensing, and consumer protection laws.

MAP Pricing Respect

Sellers must honor Minimum Advertised Price policies established by brands and distributors. Violations may result in immediate removal from the platform.

Distributor Obligations

Fair & Consistent Pricing

Distributors must provide fair, transparent pricing structures and honor negotiated terms with The Barber Collective™ and approved sellers.

Honoring Agreements

All contractual obligations, delivery schedules, and service level agreements must be met consistently and professionally.

Authorized Distribution Only

Products may only be distributed through authorized channels. Unauthorized resale, diversion, or gray market activities are strictly prohibited.

Quality Assurance

All products must be authentic, properly stored, and meet manufacturer quality standards. Counterfeit or damaged goods are prohibited.

4. Prohibited Conduct & Code of Conduct

Barber Collectives enforces strict conduct standards to protect our ecosystem, community members, partners, and brand integrity. The following activities are absolutely prohibited:

Fraudulent Orders

Creating fake orders, manipulating sales data, or engaging in any form of order fraud.

Price Manipulation

Violating MAP policies, price fixing, or manipulating pricing structures.

Fake Campaigns

Running misleading promotions, false advertising, or deceptive marketing campaigns.

Brand Poaching

Attempting to steal, bypass, or misuse established brand relationships.

Harassment

Any form of harassment, threats, bullying, or disrespectful behavior toward community members.

System Interference

Attempting to hack, manipulate, disrupt, or reverse-engineer platform systems.

Chargeback Abuse

Filing fraudulent chargebacks, payment disputes in bad faith, or exploiting financial systems.

Intellectual Property Theft

Copying, cloning, or redistributing proprietary systems, training, or brand assets.

Immediate Consequences

Instant Account Termination without refund or appeal

Permanent Blacklist from all Barber Collectives programs and services

Financial Liability for damages, losses, and recovery costs

Legal Action including civil litigation and cooperation with law enforcement

Industry Reporting to protect partners, brands, and marketplace platforms

Professional Conduct Standard

Barber Collectives operates on respect, professionalism, and opportunity. We support creators, barbers, and sellers from all backgrounds. We expect all users to uphold these same principles while using our platform. Mutual respect and ethical conduct are non-negotiable requirements for participation.

5. Payments, Fees & Financial Terms

Users agree to comply with all payment terms, fee structures, and financial obligations associated with their use of the Barber Collectives platform and services.

Payment Processing

All payments are processed through secure third-party payment processors. Users are responsible for maintaining accurate payment information and ensuring sufficient funds for transactions.

Service Fees

Applicable service fees, commission rates, and transaction charges will be clearly communicated and applied according to your user tier and service agreement.

Subscription Terms

Subscription-based services renew automatically unless cancelled. Users must provide notice according to cancellation terms to avoid charges for subsequent billing periods.

Refund Policy

Refunds are issued at our sole discretion and according to service-specific refund policies. Digital products, training, and access-based services are generally non-refundable.

Chargeback & Payment Abuse Protection

Fraudulent chargebacks, payment disputes filed in bad faith, or attempts to exploit financial systems may result in:

  • Immediate account suspension and investigation
  • Debt collection procedures and recovery fees
  • Reporting to credit agencies and financial institutions
  • Legal action to recover damages and associated costs

6. Intellectual Property Rights

All platform content, training modules, operational systems, dashboards, SKUs, branding assets, and proprietary structures are protected under U.S. and international intellectual property law.

Logos, trademarks, and brand identity
Platform software and codebase
Training courses and educational content
Operational workflows and SOPs
Dashboard interfaces and UX design
SKU vault and product databases
Contractual templates and agreements
Marketing materials and media assets

Strictly Prohibited Actions

  • Unauthorized reproduction, copying, or redistribution of any proprietary materials
  • Reverse engineering, decompiling, or attempting to extract source code
  • Creating derivative works or competing frameworks using our intellectual property
  • Sharing training materials or internal resources outside authorized users

Fair Use of Resources

Training materials, coaching systems, and internal processes are licensed for use solely within your authorized account and business operations. These resources cannot be shared, resold, distributed, or transferred to third parties without express written permission.

9. Enforcement, Penalties & Investigation Rights

The Barber Collective™ maintains comprehensive enforcement capabilities and investigation rights to protect the integrity of our ecosystem, community members, partners, and brand reputation.

Zero-Tolerance Policy

We maintain absolute zero tolerance for fraud, chargeback abuse, deceptive conduct, reseller misconduct, or any attempt to manipulate The Barber Collective™ systems, affiliate structures, distribution channels, or marketplace algorithms.

Instant Termination

Without refund, appeal, or notice period

From all Barber Collective™ programs

Platform Cooperation

With TikTok, Shopify, Stripe, financial institutions

Civil Liability

For damages, losses, and recovery costs

Investigation & Audit Rights

The Barber Collective™ reserves the right to investigate, audit, monitor, and review all user activities, transactions, and platform interactions to ensure compliance and protect ecosystem integrity.

Access to account data, transaction history, and communication records
Review of business operations, inventory, and fulfillment practices
Monitoring of marketplace activity and pricing compliance
Suspension of accounts pending investigation outcomes

System Integrity Protection

Users may not access, modify, interfere with, or attempt to disrupt the platform's codebase, SKU systems, supply network, routing algorithms, or backend infrastructure.

Supply network routing systems

Backend operational infrastructure

Immediate Termination Triggers

The following violations will result in instant account termination:

Fraud or attempted fraud
Chargeback fraud or abuse
Circumvention attempts
IP theft or misuse
Harmful or abusive behavior
MAP policy violations
System interference
Seller interference

Legal Cost Recovery

In the event of violation, user agrees to cover reasonable legal fees, attorney costs, administrative expenses, investigation time, and operational costs incurred by The Barber Collective™ in enforcing these Terms and pursuing remedies.

10. Account Termination & Suspension

The Barber Collective™ reserves the right to suspend or terminate user accounts at any time, with or without cause, to maintain platform integrity, enforce compliance, or protect our community and partners.

User-Initiated Termination

Users may request account termination by contacting support. Cancellation terms vary by service type and may require advance notice. Outstanding obligations must be fulfilled before account closure.

Platform-Initiated Termination

We may terminate accounts for violations, inactivity, security concerns, or at our sole discretion. Termination may occur with or without notice depending on severity of circumstances.

Effects of Termination

Immediate Access Revocation: All platform access, tools, dashboards, and resources will be disabled immediately upon termination.

Data Retention: We may retain account data as required by law or for legitimate business purposes including fraud prevention and legal compliance.

Outstanding Obligations: Termination does not relieve users of financial obligations, contractual commitments, or liability for prior actions.

No Refunds: Fees paid for services rendered prior to termination are non-refundable except as required by law.

Industry-Wide Reporting

Severe violations may result in reporting to industry partners, marketplace platforms, payment processors, and relevant authorities to protect the broader e-commerce ecosystem and prevent future misconduct.

11. Limitation of Liability & Disclaimers

Service Provided "As Is"

The Barber Collective™ platform and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee specific results, revenue, sales, or business outcomes.

Limitation of Damages

To the maximum extent permitted by law, The Barber Collective™ and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, sales, or business opportunities
  • Loss of data, goodwill, or reputation
  • Business interruption or operational delays
  • Third-party actions or marketplace account suspensions

Maximum Liability Cap

Our total liability to any user for all claims arising from or related to these Terms or use of our services shall not exceed the greater of: (a) the amount paid by the user to The Barber Collective™ in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100 USD).

Third-Party Relationships

Users acknowledge that their relationships with suppliers, distributors, marketplace platforms, and customers are independent business relationships. The Barber Collective™ is not responsible for third-party actions, policies, disputes, or failures to perform.

Independent Business Operations

Users operate as independent business entities and are solely responsible for their business decisions, compliance with laws, tax obligations, customer service, and operational outcomes. The Barber Collective™ provides tools and resources but does not guarantee success.

12. Governing Law & Dispute Resolution

Applicable Law

These Terms of Service and any disputes arising from or related to these Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Binding Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration.

Arbitration Venue

Arbitration shall be conducted in Miami-Dade County, Florida, under the rules of the American Arbitration Association (AAA). The arbitration will be conducted by a single arbitrator mutually agreed upon by both parties.

Arbitration Rules

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.

Costs & Fees

Each party shall bear its own costs and attorney fees unless the arbitrator determines that a claim or defense was frivolous or brought for an improper purpose, in which case the prevailing party may be awarded reasonable attorney fees and costs.

Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN THE BARBER COLLECTIVE™ AND YOU INDIVIDUALLY.

You waive the right to participate in any class action, collective action, or representative proceeding.

Claims may not be brought on behalf of other users or combined with claims of other parties.

The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding.

Exceptions to Arbitration

Either party may seek injunctive relief in court to protect intellectual property rights, confidential information, or to prevent irreparable harm. Such actions may be brought in the courts located in Miami-Dade County, Florida, and both parties consent to the personal jurisdiction of such courts.

Exclusive Jurisdiction

To the extent that arbitration does not apply, both parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, for any legal proceedings arising from or related to these Terms.

13. Partnership & Endorsement Disclaimer

The Barber Collective™ is an independent platform and agency. Nothing in this agreement implies partnership, joint venture, employment, agency relationship, endorsement, or official affiliation with any third-party brand, marketplace, distributor, or manufacturer unless explicitly stated in writing.

Independent Platform

We operate as an independent ecosystem connecting creators, sellers, and distributors. We do not claim to be endorsed by, affiliated with, or officially partnered with any brand unless a formal partnership agreement exists.

References to brands, products, or platforms are for informational purposes and do not imply endorsement, sponsorship, or official relationship status.

MAT Compliance

This independence allows The Barber Collective™ to remain MAT (Minimum Advertised Price) compliant and maintain neutrality across distribution channels while providing value to all participants in our ecosystem.

14. Modifications & Updates to Terms

Barber Collectives reserves the right to modify, update, or replace these Terms of Service at any time at our sole discretion. Changes may be made to reflect evolving business practices, legal requirements, platform enhancements, or community standards.

Notice of Changes

Material changes to these Terms will be communicated through:

  • Email notification to registered account holders
  • In-platform notifications and dashboard alerts
  • Updated "Last Modified" date at the top of this page

Continued Use Constitutes Acceptance

By continuing to access or use the Barber Collectives platform after modifications become effective, you agree to be bound by the updated Terms. If you do not agree with the modifications, you must discontinue use of our services immediately.
